Terms of Service

Terms of Service

These Terms of Service outline the agreement between you, the client, and Nera Service Pro Ltd, a company registered in England and Wales under company number 16888122.

By purchasing, subscribing to or using any Nera Service Pro service, you agree to these Terms of Service in full. If you do not agree to these Terms of Service, you must not use or sign up for any Nera Service Pro service.


1. About Nera Service Pro

Nera Service Pro provides website rental packages for UK trade and service businesses. This includes website design, hosting, ongoing updates, maintenance and technical support.

2. Service Model and Website Ownership

2.1 All Nera Service Pro websites are provided under a website rental model. You are paying for access to the website and associated services for as long as your subscription remains active.

2.2 Nera retains full ownership of:
• The website design
• The layout and structure
• All templates, themes and frameworks
• All custom code, styling and scripts
• All development work carried out by Nera
• The full intellectual property of the website

2.3 You own your own content, including logos, photos, written text and assets provided by you.

2.4 You do not gain ownership of the website or its code unless you purchase a separate full buyout package. This is quoted on request.

2.5 If your subscription ends, your access to the website and its functionality will be removed.


3. Licensing and Use Rights

3.1 While your subscription is active, you receive a licence to use the website for your business.

3.2 This licence is non transferable unless approved by Nera.

3.3 You may not claim ownership of the design or code, reproduce it elsewhere or licence it to third parties.

3.4 Any attempt to copy, replicate or export the underlying website materials without permission is strictly prohibited.


4. Payments, Subscriptions and Billing

4.1 All payments are billed by Nera Marketing Co., Ltd in Thailand.

4.2 Services are offered on:
• Monthly subscriptions
• Annual subscriptions
• Multi year agreements (where applicable)

4.3 Payments are taken automatically by card or direct debit using authorised payment providers.

4.4 All payments are final. No refunds are provided once payment has been collected.

4.5 If a payment fails, we may attempt collection again. We may also suspend the website until payment is received.

4.6 If a subscription is cancelled or payments fail repeatedly, the website will be taken offline and the service terminated.


5. Chargebacks

5.1 If you dispute a payment with your bank instead of contacting us, this is treated as a breach of contract.

5.2 We may immediately suspend or terminate your website and all associated services.

5.3 You will be liable for all fees incurred as a result of the chargeback.


6. Cancellation Terms

6.1 You may cancel at any time, with no minimum contract.

6.2 Cancellation prevents future payments but does not refund past payments.

6.3 Once cancelled, the website will be taken offline at the end of the paid period.

6.4 If you require an export of your content, we can provide this on request. It may not include functionality, themes, plugins or licensed materials.


7. Domain Names

7.1 If you purchase your domain independently, you own it.

7.2 If Nera purchases the domain on your behalf, it remains the property of Nera until:
• All outstanding fees are paid
• A formal transfer request is submitted
• The transfer fee is paid

7.3 Nera is not responsible for domain loss caused by factors outside our control, including registrar failure or client inaction.

7.4 Domain transfers may take up to 14 days depending on the registrar.


8. Hosting and Technical Services

8.1 Hosting is included as part of your subscription.

8.2 Hosting performance may vary depending on traffic, server load and third party factors.

8.3 Nera is not liable for downtime, hosting outages or interruptions caused by hosting companies or internet providers.

8.4 Scheduled maintenance may cause short periods of downtime.


9. Website Updates and Support

9.1 Active subscribers receive access to content updates and support based on their plan.

9.2 Requests must be reasonable and fall within plan limits.

9.3 Excessive or abusive usage may require upgrading to a higher plan.

9.4 Large redesigns, new pages or advanced changes may be chargeable.


10. Acceptable Use Policy

You agree not to use the website or services for:
• Illegal or fraudulent activity
• Misleading or harmful content
• Copyright infringement
• Spam or abusive behaviour
• Hosting malware or harmful code
• Activities that damage Nera or its infrastructure

Nera may remove content or suspend services if any rules are breached.


11. Client Responsibilities

11.1 You are responsible for the accuracy of all content provided.

11.2 You confirm you have permission to use any images, logos, text or materials supplied.

11.3 You must provide required information promptly when requested.

11.4 Delays caused by missing information or slow communication are not the responsibility of Nera.


12. Third Party Services and Integrations

12.1 The website may rely on third party plugins, APIs and tools.

12.2 Nera is not responsible for changes, pricing adjustments, downtime or removal of features from third party providers.

12.3 You are responsible for any third party subscription fees required by your website.


13. Data and Privacy

13.1 Nera may store client data for the purpose of providing services.

13.2 Personal data is handled in accordance with our Privacy Policy.

13.3 You are responsible for GDPR compliance relating to your customers and your website content.


14. Indemnity

You agree to indemnify and hold harmless Nera Marketing Co., Ltd and all associated staff from any claims, damages, losses or expenses arising from:
• Your use of the website
• Your content and materials
• Violations of these Terms
• Legal disputes caused by your business activities


15. Liability Limitation

To the fullest extent permitted by law, Nera is not liable for:
• Loss of profits, sales or revenue
• Business interruption
• Loss of data
• Reputational damage
• Downtime or technical issues
• Errors caused by third party services
• Force majeure events
• Any indirect or consequential losses

Your use of the website is at your own risk.


16. Termination by Nera

We may terminate your service immediately if:
• Payments are overdue
• You breach these terms
• You misuse our systems
• You engage in illegal or abusive behaviour
• You issue a chargeback
• You damage our reputation or services

Termination does not remove your obligation to pay outstanding fees.


17. Governing Law

These Terms of Service are governed by the laws of England and Wales, where Nera Service Pro Ltd is registered and operates. All legal disputes must be resolved under the jurisdiction of the courts of England and Wales.
